1. Provision of Digital Infrastructure
Donateazy Technologies ("the Provider") grants the subscribing entity ("the Licensee") a limited, non-transferable, non-exclusive license to utilize its proprietary NGO Operating System. This infrastructure is provided solely for the orchestration of charitable activities, statutory compliance management (80G/12A/FCRA), and donor interface management. Unauthorized exploitation, reverse engineering, or systematic extraction of the Provider's intellectual property is strictly prohibited.
2. Statutory Compliance Responsibility
While the platform provides automated tools for regulatory documentation, the Licensee acknowledges that the legal burden of accuracy for all statutory filings (including Form 10BD, FC-4, and Income Tax returns) rests exclusively with the Licensee. The Provider acts as a technical facilitator and does not provide legal, financial, or tax advisory services.
3. Transactional Integrity & Governance
The Licensee represents and warrants that all philanthropic capital managed through the infrastructure is acquired from legitimate sources in accordance with the Prevention of Money Laundering Act (PMLA) 2002. Any suspicion of financial impropriety or misutilization of funds for non-charitable purposes will result in immediate suspension of the digital tenancy and disclosure to relevant authorities.
4. Financial Provisions
Subscription fees are defined in the Service Order and are payable in advance. Failure to satisfy financial obligations within the stipulated grace period may result in administrative lockout of the infrastructure. All fees are exclusive of applicable GST unless stated otherwise.
5. Limitation of Liability
The Provider's aggregate liability for all claims arising out of this agreement shall not exceed the total fees paid by the Licensee in the twelve (12) months preceding the incident. The Provider shall not be liable for indirect, consequential, or punitive damages resulting from data loss or service interruptions beyond its reasonable control.
